General Terms and Conditions of Sale (GTS) of MetaXD AG

1. Scope of Application
These General Terms and Conditions of Sale (GTS) govern the sale of products and the provision of digital services via the e-commerce websites of MetaXD AG (hereinafter "MetaXD") to its customers (hereinafter "Customer"). They supplement the General Terms and Conditions (AGB) of MetaXD AG.
By placing an order, the Customer expressly accepts these GTS. The Customer's own terms and conditions are explicitly excluded. Deviations from these GTS are only valid if accepted by MetaXD in advance and in writing.

3. Conclusion of Contract
The presentation of products and services in the online shop does not constitute a legally binding offer, but rather an invitation to place an order.
By clicking the order button, the Customer places a binding order for the items in the shopping cart. The contract is concluded when MetaXD accepts the Customer's order via an order confirmation by email or by performing the service.
4. Prices and Payment Terms
The prices indicated on the website are in Swiss Francs (CHF), exclusive of statutory value-added tax, unless otherwise stated.
Unsere Rechnungen sind, sofern auf der Rechnung oder im Angebot nicht anders vermerkt, innerhalb von 21 Werktagen zur Zahlung fällig. Bei Zahlungsverzug behält sich MetaXD das Recht vor, Verzugszinsen in Höhe von 10 % des ausstehenden Betrages zu fordern. Bei ausbleibender Zahlung ist MetaXD zudem berechtigt, weitere Dienstleistungen ohne Vorankündigung auszusetzen. Befindet sich ein Kunde mehr als 60 Tage nach Fälligkeit in Zahlungsverzug, kann MetaXD ein Inkassounternehmen beauftragen. Sämtliche damit verbundenen Kosten gehen zu Lasten des Kunden.
Any withholding taxes applicable under the Customer's national legislation must be paid by the Customer to the relevant tax authorities. The full invoice amount is due to MetaXD.
5. Granting of Usage Rights
All rights to the digital services and products, particularly copyrights, remain with MetaXD or its licensors. Upon purchase, the Customer receives a non-exclusive and non-transferable right to use the acquired services and products in accordance with the contractual agreements. This right of use only becomes effective upon full payment of the agreed remuneration. Any further use, reproduction, or disclosure to third parties is prohibited without the express written consent of MetaXD.
6. Performance and Provision of Services
The provision of digital services is carried out by making them available for retrieval, activating them in a customer account, or granting access through other electronic means. The specifics are detailed in the order process or in the respective offer. MetaXD undertakes to perform the agreed services to the best of its knowledge and belief.
7. Customer's Duties to Cooperate
The Customer is obliged to provide MetaXD with all information, data, and access required for the provision of the digital services in a timely manner and in the required quality. If the Customer fails to meet their duties to cooperate, MetaXD shall be released from its obligation to adhere to agreed deadlines. Any additional expenses arising therefrom may be invoiced to the Customer.
8. Warranty and Liability
The Customer is obliged to inspect the rendered services immediately upon receipt. Any complaints must be submitted in writing by registered mail to the registered office of MetaXD AG within 8 days of the service provision; otherwise, the services are deemed accepted.
The liability of MetaXD is governed by the statutory and contractual provisions. To the extent legally permissible, liability is limited to the amount of the remuneration agreed for the respective project. The mandatory liability for personal injury and for damages caused by intent or gross negligence on the part of MetaXD remains unaffected by this limitation.
9. Right of Withdrawal
Under Swiss law, there is no general statutory right of withdrawal for online purchases. As the provision of digital services typically begins immediately after the contract is concluded, a right of withdrawal is fully excluded.
10. Data Protection
The contractual relationship is exclusively governed by substantive Swiss law.

11.2. Place of Jurisdiction
The exclusive place of jurisdiction is the registered office of MetaXD AG. Mandatory legal places of jurisdiction remain reserved.
11.3. Severability Clause:
Should individual provisions of these GTS be invalid, the validity of the remaining provisions shall not be affected. The invalid provision shall be replaced by a valid provision that comes closest to the original economic purpose.
